Terms of Service (TOS)

Welcome to ContentERP These Terms of Service (“Terms”) outline the rules and guidelines governing your use of all ContentERP products and services. By accessing and using any of our products, you agree to be bound by these Terms. If you disagree, do not use our services.

Eligibility ContentERP may not be used by anyone under the age of 18. By using ContentERP, you represent and warrant that you are 18 years of age or older.

Services Provided ContentERP offers a suite of content-related products and services, including:

  • ContentERP Web Application (https://app.ContentERP.com): A content management and creation platform with features such as a dashboard, content and research modules, AI writing tools, financial tracking, progress tracking, a work queue, user management, and a community forum.
  • ContentERP Website (https://ContentERP.com): Our website provides information, education, and marketing materials about our products and services.
  • ContentERP Time Tracker Chrome Extension: A browser extension that integrates with the ContentERP Web Application for streamlined time tracking.
  • ContentERP Google Docs Add-on: A Google Docs add-on (pending approval) designed to enhance content creation within Google Docs using ContentERP’s tools.”

User Accounts

  • Free Trial: ContentERP offers a 7-day free trial of the Pro Plan. Certain limitations may apply to credit based modules in the web application, such as the Cerp Writer Module and Research Module. Limitations are declared in the web application.
  • Subscription Tiers:
  • Pro Plan: Priced at $49/month or $490/year.
  • Pro-Plus Plan: Priced at $199/month or $1990/year.
  • Additional Purchases: Users can add certain features to their plans as needed.
  • Pricing Changes: ContentERP may modify pricing and features with or without notice.
  • Storage and Content Limits: Each ContentERP subscription tier includes base storage and content creation limits. Specific limits are outlined on the pricing page. Users can purchase additional capacity.

Payment and Billing

  • Payment Processing: ContentERP uses Stripe, a secure payment gateway, to process subscription payments. We accept a wide variety of payment methods through Stripe, including:
  • Major Credit and Debit Cards: Visa, Mastercard, American Express, Discover, Diners Club, JCB, China UnionPay
  • Digital Wallets: Apple Pay, Google Pay
  • Other Payment Methods: Link, WeChat Pay, Cash App Pay, and additional options depending on your region.
  • Automatic Renewal: Subscriptions automatically renew unless canceled by the user.
  • Changing Subscription Tiers: Users can easily modify or change their subscription plan.
  • Refund Policy: ContentERP does not offer refunds.
  • Cancellation Policy: Users can cancel their subscription at any time, effective at the end of the current billing period.

Intellectual Property

  • Protection of ContentERP’s Intellectual Property: The ContentERP software, code, trademarks, logos, and any proprietary materials related to our Web Application, Website, Chrome Extension, and Google Docs Add-on are the exclusive intellectual property of ContentERP. Users may not reverse engineer, copy, decompile, or attempt to derive the source code of any of our products. Any unauthorized use or reproduction is strictly prohibited.

Ownership of Content

  • The user who creates content within ContentERP retains full ownership of that content. ContentERP does not claim any ownership rights over your materials.

Data Security

  • Data Security Measures: ContentERP takes data security seriously and employs industry-standard encryption methods and security protocols. User sessions are automatically terminated after 120 minutes of inactivity.

Warranties and Disclaimers

  • No Guarantee of Uptime: We strive for maximum uptime but do not provide any specific guarantees for any of our products.
  • Disclaimer of Warranties: We make no warranties of any kind, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or compatibility with any third-party software or services. This includes any of our products: The Web Application, Website, Chrome Extension, and Google Docs Add-on.
  • Limitation of Liability ContentERP will not be liable for indirect, incidental, special, consequential, or punitive damages. Our maximum liability in any case will be limited to the amount of subscription fees you have paid for the current billing period.
  • No Liability for User Actions: ContentERP will not be liable for any actions taken by users within our products, including any content created, shared, or distributed. Users are solely responsible for ensuring their use of ContentERP aligns with all applicable laws and regulations.
  • No Liability for Data Loss: ContentERP employs industry-standard security measures but cannot guarantee absolute protection against data loss due to unforeseen circumstances. We recommend users regularly backup their own data. ContentERP is not liable for any lost, corrupted, or deleted data within any of our products.

Acceptable Use

  • Content Restrictions: Users may not use ContentERP to create, store, or distribute any content that is illegal, infringing, harmful, threatening, abusive, defamatory, or hateful.
  • Enforcement: ContentERP reserves the right to review user content and take appropriate actions, including the immediate suspension or termination of accounts, for violations of these Acceptable Use terms.

Termination

  • Termination by ContentERP: ContentERP may terminate or suspend a user’s account at any time, with or without notice, for any reason.
  • Data Upon Termination: Upon account termination, ContentERP reserves the right to immediately delete or retain user data on a case-by-case basis.

Governing Law and Dispute Resolution

  • Governing Law: This agreement shall be governed by the laws of the State of Minnesota, USA.
  • Dispute Resolution: Any disputes will be resolved in a manner deemed most favorable to ContentERP.

Force Majeure ContentERP shall not be liable for any failure or delay in the performance of its obligations under this Agreement arising out of or caused by, directly or indirectly, forces beyond its reasonable control, including, without limitation, strikes, work stoppages, accidents, pandemics, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services.

Modifications to the TOS ContentERP reserves the right to modify these Terms at any time.
